1. General Provisions & B2B Scope

1.1. The Service Provider and operator of the tenders.space platform is:

B2B Exclusivity: tenders.space is a professional software-as-a-service (SaaS) application designed exclusively for corporate clients, businesses, sole traders, and institutional entities acting in a commercial capacity. Consumer protection regulations do not apply to agreements concluded with the Service Provider to the fullest extent permitted by applicable law.

1.3. Registering an Account or subscribing to any Plan constitutes full acceptance of these Terms.

2. Technical Requirements

To utilize the Services, the User must meet the following technical requirements:

• An active high-speed Internet connection.
• A modern web browser (Google Chrome, Mozilla Firefox, Apple Safari, Microsoft Edge) updated to the latest 2 major versions.
• JavaScript and TLS 1.3 protocol enabled.
• An active corporate email account.

3. Account Registration & User Security

3.1. Account creation requires providing valid company identification details (e.g., NIP/Tax ID, business name) and contact information.

3.2. Users are responsible for maintaining the confidentiality of their credentials. Sharing account access outside designated subscription seat limits (Team/Enterprise plans) or automated web scraping of platform data is strictly prohibited and constitutes grounds for immediate account suspension without refund.

4. AI Features & Disclaimer for Tender Decisions

4.1. The Platform employs artificial intelligence, optical character recognition (OCR), and semantic search models to aggregate, summarize, and analyze public procurement notices, terms of reference (RFP/RFQ/SWZ), and contract clauses.

5. Subscriptions, Pricing & Payments

5.1. Services are provided under paid subscription tiers billed on a monthly or annual recurring basis, or via custom B2B enterprise agreements.

5.2. All prices quoted on the website or in official proposals are net amounts, subject to statutory Value Added Tax (VAT) in accordance with applicable tax regulations.

5.3. Payments are processed securely via integrated PCI-DSS compliant gateways (e.g., Stripe, PayU) or corporate SEPA/SWIFT bank wire transfers.

6. Cancellation Policy

6.1. Users may cancel their recurring subscription at any time via Account Settings. Cancellation takes effect at the end of the current paid billing cycle, and access remains active until the expiration of that period. No partial refunds are issued for unused billing intervals in B2B subscriptions.

7. Intellectual Property & AI Data Protection Guarantee

7.1. All rights, titles, and interests in the tenders.space platform, code, algorithms, visual design, and software remain the exclusive intellectual property of the Service Provider.

7.2. AI Zero-Training Guarantee: Documents, tender queries, and business profile data uploaded or submitted by Users remain the property of the User and are strictly processed to deliver requested analytical outputs. User data is NEVER used to train public foundation AI models without explicit written permission.

8. Limitation of Liability

8.1. To the maximum extent permitted by applicable law, the Service Provider disclaims all warranties, express or implied.

8.2. The Service Provider’s total aggregate financial liability toward a User for any and all claims arising out of or related to the Service is strictly capped at the total amount paid by the User for the Service during the 12 months immediately preceding the claim event, or the value of one monthly subscription period.

8.3. The Service Provider shall under no circumstances be liable for indirect, consequential, punitive damages, lost business opportunities, or lost profits (lucrum cessans).

9. Complaints Procedure

9.1. Any complaints regarding service availability, billing, or technical glitches should be submitted electronically to support@tenders.space.

9.2. Complaints will be reviewed within 14 business days from receipt, and a written response will be issued to the User’s registered account email.

10. Governing Law & Dispute Resolution

10.1. These Terms and any agreements concluded thereunder shall be governed by and construed in accordance with the laws of Poland, without giving effect to conflicts of laws principles.

10.2. Any disputes between the Service Provider and B2B Users shall be submitted to the exclusive jurisdiction of the common court having geographical jurisdiction over the registered seat of the Service Provider.
